Energy Project Finance Associate Attorney (US)
Join Sheppard Mullin in our Energy, Infrastructure, and Project Finance team. We seek two mid‑level project finance attorneys—experience in debt and tax equity—based in any domestic office. Ideal candidates have 3‑5 years of relevant experience.
About the RoleYou will represent clients in renewable energy projects, providing substantive responsibility and client contact across acquisition, development, and financing transactions. You will work with sponsors and financing parties, drafting and negotiating debt term sheets, loan agreements, security documents, and related equivalents; and equity capital contribution agreements, partnership agreements, lease documents, and other ancillary equity documents.
Experience & Skills- Project finance work in the energy industry with a strong emphasis on debt work (construction debt, term debt, equipment supply loans).
- Project finance work related to tax equity (tax equity partnerships, leasing structures).
- Familiarity with drafting and negotiating debt term sheets, loan agreements, security documents, collateral assignment consents, guarantees, and ancillary debt documents.
- Familiarity with drafting and negotiating equity capital contribution agreements, partnership agreements, lease documents, guarantees, estoppels, and ancillary equity documents.
- Some familiarity with project development and operation contracts such as EPC contracts, supply agreements, offtake agreements, and O&M agreements.
- 3‑5 years of experience in the energy industry at a large law firm with a national reputation or comparable in‑house counsel role.
- Excellent oral communication, writing, research, and analytical skills.
- Ability to manage junior associates on a transaction, oversee transaction processes, take ownership of projects, and communicate effectively with clients and third‑party advisors.
- Strong academic credentials from a top‑tier law school.

CompensationPay range: $260,000 - $365,000 per year. This compensation information is a good‑faith assessment for this position only and is provided pursuant to the New York City Salary Transparency Law.
