Job DescriptionThe Associate General Counsel – Global Clients & Global Retailers is a direct report to the General Counsel – Global Clients & Global Retailers of NIQ and its subsidiaries (NIQ Group) and plays an important role in drafting, negotiating, reviewing, and closing commercial deals for some of NIQ Group’s largest global clients and retailers.
The purpose of this role is to provide competent, practical, and ethical legal advice to the commercial leaders of the Global Clients & Global Retailers functions in a manner that is within agreed budgetary parameters. The role is heavily focused on drafting and negotiating commercial agreements relating to market research, data and information licensing, and professional service agreements in a manner that implements company strategies.
The Associate General Counsel must be a business‑oriented attorney with the ability to recommend solutions and strategies to the business team in a clear and concise manner, and be able to work and manage multiple, complex projects in a fast‑paced environment. The Associate General Counsel must be a strong relationship builder within NIQ and with external parties and should be highly collaborative with a willingness to seek input from others.
The Associate General Counsel must possess a high degree of accountability and motivation, be always open and transparent, and act with integrity and candor. The Associate General Counsel must be highly customer‑focused and always seeking to exceed customers’ expectations.
Responsibilities- Participate with other members of the NIQ Legal Department in the deployment of global corporate legal and regulatory policies, procedures, and programs
- Provide rapid, practical, business‑oriented legal/commercial advice to the Global Clients & Global Retailers functions business operations, including reviewing and interpreting executed commercial contracts, licensing, alliances and other sophisticated transactions
- Draft, review and negotiate confidentiality agreements, engagement letters, terms sheets and letters of intent, and transactional documents such as inbound/outbound licenses
- Work closely with General Counsel – Global Clients & Global Retailers, NIQ Legal regional colleagues, related business teams, and others to drive deal execution
- Actively support global NIQ Group Legal initiatives and be a resource and collaborative partner with NIQ functional leaders, such as in the areas of procurement, compliance, technology, privacy, data protection, finance
- Attend and actively participate in NIQ Legal Department meetings
- Other matters assigned by the General Counsel – Global Clients & Global Retailers
- Juris Doctor from an accredited law school and active admission in a state Bar
- 5‑6 years of business law experience, including in‑house legal experience (experience in data licensing or market research industry strongly preferred); law firm experience preferred but not required
- Experience in structuring and negotiating complex transactions and commercial contracts or other experience demonstrating ability to handle commercial and legal negotiations
- Familiarity with market research services, including data licensing, consulting, information technology services, and advertising/marketing business and contract
- Ability to draft, review, negotiate and close commercial agreements with minimal support from senior staff under compressed time constraints
- Strong organizational and interpersonal skills, including ability to work effectively within a globally distributed team
- Demonstrated ability to think and decide quickly, and to communicate legal issues and solutions clearly and concisely to lawyers and non‑lawyers
