Join Epiq's global, industry-defining corporate client (with brands you definitely know!) Our client is seeking an experienced Senior International Corporate Governance & Entity Management Paralegal to take end-to-end ownership of global subsidiary and entity management.
In this highly visible, high-impact, Chicago-based hybrid role, you will manage the company’s international legal entities, implement governance standards, and serve as the primary point of contact for outside counsel across multiple jurisdictions.
Qualifications:
- 8+ years of corporate governance, international subsidiary management, or corporate paralegal experience in a multinational company or law firm.
- Experience serving as a primary owner of international subsidiary governance and entity maintenance.
- Deep knowledge of international entity management and global corporate structures.
- Substantive experience with entity management systems, organizational charts, resolutions, and key corporate documentation.
- Proven ability to manage high-volume workflows with precision and independence.
- High degree of professionalism when partnering with outside counsel and internal leadership.
- Strong organizational skills and meticulous attention to detail.
- Proficiency with entity management platforms (Diligent, GEMS, hCue, Blueprint, etc.) strongly preferred.
- Exceptional written and verbal communication skills.
- Willingness to support a hybrid role requiring two/three days onsite in downtown Chicago-based office.
- Epiq Counsel partners with industry-leading clients in support of their sophisticated interim talent needs. Must be interested in practicing in an alternative, fixed-term legal services model.
Support our multinational corporate client on the following:
- Serve as the primary owner of international subsidiary governance and entity maintenance.
- Manage annual filings, statutory requirements, director/officer updates, corporate records, and compliance calendars across global jurisdictions.
- Work closely with outside counsel worldwide to ensure timely and accurate compliance.
- Maintain and update entity management systems, organizational charts, resolutions, and key corporate documentation.
- Partner with stakeholders in tax, finance, treasury, compliance, and internal audit on cross-functional governance initiatives.
- Support global governance standards, policies, and record-keeping practices across the organization.
