ASSET MANAGEMENT ASSOCIATE ATTORNEY

Our client, a prominent AmLaw 50 firm
, is seeking a skilled Asset Management Associate Attorney to join its dynamic Investment Management Practice in Chicago or New York
. This is an exciting opportunity for a driven mid-to-senior-level associate to work on a sophisticated platform advising private fund sponsors and investment advisers on a range of regulatory and transactional matters.

Candidate Profile
  • JD from a top-tier law school with an excellent academic record
    .
  • Active Bar Admission in the relevant jurisdiction
    , in good standing.
  • 5-8 years of substantive experience in asset management
    , investment adviser compliance
    , and private fund formation
    .
  • Proven experience advising clients on the structuring
    , formation
    , and ongoing operations of private investment funds
    , including private equity and hedge funds
    .
  • Familiarity with the Investment Advisers Act and a desire to develop deep subject‑matter expertise in this area.
  • Demonstrated ability to counsel fund sponsors and investment advisers on regulatory compliance
    and governance matters.
  • Strong drafting skills, including experience with fund documents
    , compliance policies
    , and advisory agreements
    .
  • Prior experience at a large law firm is strongly preferred
    .
Key Responsibilities
  • Advise fund sponsors and investment advisers on the formation
    , structuring
    , and management of private funds
    .
  • Provide regulatory counsel
    , with a focus on compliance with the Investment Advisers Act and related securities laws.
  • Draft, review, and negotiate offering documents, fund agreements, and compliance materials.
  • Guide clients through examinations, audits, and filings with regulatory agencies.
  • Collaborate with cross‑practice teams to deliver comprehensive legal support.
  • Serve as a trusted adviser to clients, offering practical and strategic legal advice.

Compensation & Benefits
  • Competitive Compensation

    Includes a salary range of $365,000 to $435,000
    , commensurate with experience, and a discretionary bonus
