Crowe LLP is seeking an Assistant General Counsel to support a transaction-focused practice. This role leads the review, negotiation, and resolution of complex professional services and technology agreements, serves as an escalation point for high-risk or non-standard transactions, and owns key elements of the firm’s contracting process. The Assistant General Counsel identifies and manages legal, regulatory, and reputational risk while supporting business objectives and acts as a trusted advisor to partners, business leaders, and firm leadership.
The role reports to the leader of the Legal Department’s commercial transactions function within Firm Risk Management and aligns negotiation strategy and escalation decisions with departmental guidance. The position has significant exposure to senior leadership across the firm and works closely with a global legal and contract support team, including colleagues in India, with reasonable availability during overlapping business hours.
Location:- Chicago / Oakbrook. However, based on the right candidate, this could be located in one of our other offices.
- Develop a practical understanding of Crowe’s service lines, technology offerings, business strategies, and related risk profiles
- Lead negotiation of complex professional services and technology agreements, including MSAs, engagement letters, SaaS and software agreements, data protection agreements, vendor and subcontractor agreements, government contracts, and statements of work
- Serve as an escalation point for novel or high-risk commercial issues and partner with Legal leadership on material risk decisions
- Negotiate vendor agreements with attention to operational, regulatory, and information security risks
- Review RFPs and advise on commercially practical, risk-based mitigation strategies
- Apply U.S. and international privacy, data protection, and information security requirements in client and vendor agreements
- Own and improve contract templates, standard terms, fallback positions, and related playbooks
- Improve contracting processes and workflows using technology, automation, offshore resources, CLM platforms, and AI-enabled tools
- Lead, mentor, and support other legal professionals, including workload management and escalation
- Influence and align stakeholders across the firm through judgment, credibility, and strong relationships
The Assistant General Counsel will support the General Counsel and Legal leadership by delivering practical, solutions‑oriented legal advice that enables the business while managing enterprise risk. The role requires the ability to understand Crowe’s business lines in depth, proactively identify risk, and drive effective processes. Candidates must be able to prioritize competing demands, exercise sound business judgment, and communicate clearly with senior stakeholders.
Strong leadership skills, organizational ability, and comfort working hands‑on are essential. Experience improving legal service delivery through technology is strongly preferred, including familiarity with Microsoft Office, CLM platforms, and AI‑assisted contract tools. Experience with government contracts, regulated industries, cross‑border transactions, or intellectual property matters is helpful but not required.
Candidates must have at least nine (9) years of relevant experience in a law firm, government agency, or in‑house role, with demonstrated experience handling complex commercial transactions and advising senior stakeholders. Chicago‑based candidates with Illinois bar admission are preferred, though admission to another U.S. state bar in good standing will be considered.

The wage range for this role takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled.
At Crowe, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $ - $ per year.
