Securities & Capital Market Attorney

A growing and highly regarded law firm in Chicago is seeking a Securities & Capital Markets Attorney to join its expanding corporate practice.

• Prepare and review Securities Exchange Act of 1934 filings, including Forms 10-K, 10-Q, 8-K, proxy and information statements, and Section 16 and Section 13 filings.
• Counsel public companies on corporate governance matters, including board and committee practices, insider trading policies, Regulation FD compliance, stock exchange requirements (NYSE/Nasdaq), and shareholder engagement.
• Provide transactional support on public company M&A, including proxy and registration statements, tender offer materials, and related disclosures.
• Advise private companies on capitalization matters and pre‑IPO readiness.
• Serve as a primary point of contact for clients, including advising executives and boards and delivering practical solutions to complex regulatory issues.

• 6–12 years of relevant experience with a strong focus on securities and capital markets.
• Experience in a large law firm or similarly sophisticated securities practice.
• Demonstrated ability to work directly with clients, including senior executives and boards of directors.
• Active J.D. license in Illinois or another state;
  Illinois admission or ability to waive in preferred.
