Corporate Partner

Gould & Ratner LLP is seeking an Income (non-equity) Partner to join its Corporate Practice. No portable book of business is required. Gould & Ratner’s Corporate Practice is broad-based, spanning M&A, EC/VC (including fund formation), general corporate and advisory work, and lending and financing transactions. The ideal candidate will have 10+ years of experience, the ability to independently run and manage complex transactions, and will have expertise in at least two of the following areas: M&A (both buy-side and sell-side), EC/VC transactions (including deep familiarity with the forms published by the National Venture Capital Association), secured lending and financing transactions, joint ventures, and other transactional and corporate governance matters.

Candidates can look forward to a practice that will include handling all aspects of complex transactions for sophisticated clients of all sizes and across industries. This attorney will gain direct client interaction, business development experience and significant responsibility on complex and sophisticated legal matters. • 10+ years of experience practicing corporate transactional law, with a core emphasis on M&A, EC/VC, and/or lending and financing transactions.
• The ability to independently run deals from inception to closing, communicate effectively with clients, and manage internal and external teams (including, where applicable, subject matter experts).
• Extensive experience drafting and negotiating complex transactional agreements with efficiency and clarity.
• Strong analytical, interpersonal and communication skills. The ideal candidate has the ability to work as part of a team while also having the confidence and demeanor to assume individual responsibility for matters involving direct client interaction. This attorney will serve as business advisor to clients, guiding them in a full range of legal matters throughout their life cycle.
• Candidates must be currently licensed in Illinois or Colorado, or licensed in another state with a UBE score that qualifies in Illinois or Colorado for comity, be eligible to waive in, or be willing to sit for an upcoming IL or CO bar exam (open to relocation candidates that meet these requirements).
