A highly regarded, Pitch Book-ranked corporate boutique is seeking a Senior M&A Associate to join its growing team. Renowned for its strength in Mergers & Acquisitions (M&A) and Emerging Companies & Venture Capital (ECVC), the firm advises innovative technology and life sciences companies on sophisticated domestic and cross-border transactions. Working closely with partners, you'll lead strategic M&A transactions for high-growth, venture-backed businesses, managing deals from inception through closing while playing a key role in client relationships, negotiations, and overall transaction execution.
- Lead M&A transactions from start to finish with minimal partner oversight
- Manage due diligence processes and transaction execution
- Draft and negotiate merger agreements, stock purchase agreements (SPAs), asset purchase agreements (APAs), letters of intent (LOIs), term sheets, and ancillary transaction documents
- Advise clients on strategic buy-side and sell-side transactions
- Serve as a primary point of contact for clients and opposing counsel
- Coordinate deal teams, manage closing processes, and ensure transactions progress efficiently
- Support general corporate and ECVC matters during quieter transaction periods
- Work on complex domestic and cross-border transactions, primarily within the technology and life sciences sectors
you will have:
- 8-15 years of dedicated strategic M&A experience
- A background with a top-tier Big Law, respected mid-sized, or boutique law firm
- Experience independently managing transactions from beginning to end
- Strong drafting, negotiation, and client management skills
- Strategic M&A experience preferred, with sell-side transaction experience viewed favorably
- A stable career history demonstrating consistent tenure and progression
- Admission and good standing with a U.S. state bar
- Fully remote working model with no travel requirements
- Exposure to sophisticated and high-profile M&A transactions
- Significant client contact and responsibility on lean deal teams
- Strong focus on innovative technology and life sciences companies

- Annual billable target: 1,200 hours
- Typical associate workload averages approximately 1,350 hours
- Performance-based bonus structure offering a share of profits generated from hours billed above target
