Family Office Investment Transactions – Senior Associate, Counsel, or Partner
A leading Am Law 100 law firm is seeking a Senior Associate, Counsel, or Partner to join its Investment Transactions / Family Office Practice. This practice advises ultra‑high‑net‑worth individuals, family offices, and closely held investment platforms on sophisticated domestic and cross‑border investment transactions across a wide range of asset classes and supporting complex investment transactions across a diversified portfolio of assets.
This role involves direct engagement with principals, executives, and investment professionals on high‑value, bespoke transactions.
The position focuses on structuring, negotiating, and executing domestic and cross‑border investments for family offices, including direct investments, co‑investments, and fund‑related matters. The successful candidate will serve as a trusted advisor, balancing legal precision with commercial and relationship‑driven considerations unique to family office environments.
Key Responsibilities- Lead and manage investment transactions across asset classes, including:
- Private equity and venture capital investments
- Real estate acquisitions, dispositions, and joint ventures
- Credit, structured finance, and special situations
- Hedge fund, private fund, and co‑investment arrangements
- Draft, review, and negotiate transaction documentation, including:
- Purchase and sale agreements
- Shareholder, operating, and partnership agreements
- Subscription documents and side letters
- Financing and security documents
- Advise on transaction structuring, risk allocation, and governance considerations
- Coordinate with tax, estate planning, regulatory, and trust & estates professionals
- Oversee and mentor junior attorneys (for senior associate/counsel roles)
- For partner‑level candidates, contribute to client development, relationship management, and practice growth
- Senior Associate: Typically 6–8+ years of relevant transactional experience
- Counsel/Partner: 9+ years of experience, with demonstrated leadership and client‑facing responsibilities
- Strong background in private investments, M&A, private funds, or real estate transactions
- Experience advising family offices, private investment vehicles, or UHNW clients strongly preferred
- Excellent drafting, negotiation, and project management skills
- Ability to handle sensitive matters with discretion and sound judgment
- Commercially minded and solutions‑oriented
- Comfortable working directly with principals and senior executives
- Highly organized with the ability to manage multiple complex matters simultaneously
- Strong interpersonal skills and collaborative approach
- Entrepreneurial mindset with an appreciation for long‑term relationships
- Juris Doctor (JD) from an ABA‑accredited law school
- Active bar admission in at least one U.S. jurisdiction, in good standing
