This is a highly visible, enterprise-level rewards function operating at the intersection of executive compensation, equity strategy, governance, and M&A activity.

The organization operates at scale, with a global footprint and a strong emphasis on innovation, performance, and disciplined financial stewardship of compensation programs.

About the Role

As the Senior Director, Rewards, you will lead the design, governance, and execution of global executive compensation programs, with a strong focus on short-term and long-term incentive design, equity administration, and compensation strategy for senior leadership populations.

This role operates at the highest levels of the organization and plays a key part in shaping compensation philosophy, board-level reporting, and executive pay strategy.

You will also play a critical role in mergers and acquisitions, supporting due diligence and integration activities from a rewards perspective.

This is a role for someone who can operate fluently between technical compensation design, executive advisory, governance, and financial modeling.

Responsibilities Executive Compensation Strategy & Design
  • Lead the design, modeling, and implementation of global executive compensation programs
  • Evaluate and enhance short- and long-term incentive structures, pay mix, and equity design
  • Conduct advanced compensation analysis, modeling, and scenario planning for program changes
  • Develop competitive salary ranges for Director+ populations using market benchmarking and survey data
  • Partner with Finance, Legal, and external advisors to ensure alignment with business and governance requirements

This role requires someone who can connect compensation design directly to business performance, culture, and governance expectations.

Governance, Board Support & Reporting
  • Prepare materials and analysis for Compensation and Culture Committee and Board-level meetings
  • Support drafting of proxy disclosures and Compensation Discussion & Analysis (CD&A)
  • Manage equity and total compensation governance for global VP populations
  • Ensure accuracy, compliance, and consistency in executive compensation reporting
  • Partner with cross-functional teams on financial reporting and disclosure requirements

This is a high-trust, high-visibility role requiring precision, discretion, and executive presence.

Equity & Stock Plan Administration
  • Oversee equity administration operations and vendor relationships
  • Manage global equity programs including grants, reporting, and compliance
  • Monitor equity strategy including burn rate, overhang, and dilution analysis
  • Lead communications and education strategy around equity programs
  • Ensure accurate execution of global equity cycles including ESPP administration

Equity is a core component of this organization’s rewards strategy and requires strong technical and operational ownership.

Mergers & Acquisitions Support
  • Support compensation due diligence for acquisitions and strategic transactions
  • Lead rewards integration planning across acquired organizations
  • Assess alignment of compensation structures and equity programs during integration
  • Provide modeling and analysis to support M&A decision-making

This is a key strategic lever within the broader rewards function.

Leadership & Team Development
  • Lead and coach compensation and equity professionals across the function
  • Develop training and communication programs for Director+ compensation initiatives
  • Partner with regional rewards leaders to ensure global consistency and alignment
  • Foster a high-performing, analytically driven rewards team culture
Qualifications
  • Bachelor’s degree required;
    Finance, Economics, Statistics, or Mathematics preferred
